1. Acceptance of Terms
Kesher ("Kesher," "we," "us," or "our") is a mobile and web platform for motorcycle riding club management, operated by Kesher Labs, LLC. These Terms of Service ("Terms") govern your access to and use of the Kesher application and any associated websites, including kesherapp.org and any Club-branded site operated through the Service (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Certain public areas of the Service — such as general information about Kesher, participating riding clubs ("Clubs"), and how to get involved — may be browsed by anyone without an account. Access to a Club's roster, events, dues, and member-only features requires an account, and Clubs are screened and vetted by Kesher before being onboarded to the Service, including screening against the Prohibited Organizations restriction in Section 7. Kesher may expand availability to additional Clubs at its discretion.
2. Eligibility
You must be at least 18 years old to create an account and use the Service. By using the Service, you represent that you meet this requirement and that all information you provide is accurate.
3. Description of the Service
Kesher provides tools for Clubs to manage: events and group rides, membership rosters, recruiting/prospect tracking, sub-group trip itineraries, dues collection and tracking, club announcements, and a member photo feed. Kesher is a software tool. Kesher does not organize, lead, supervise, or guarantee the safety of any ride, event, or in-person Club activity.
4. Ride and Event Liability — Read Carefully
Motorcycling is inherently dangerous. Rides, group events, and any in-person Club activities coordinated or listed through the Service are organized and led by the Club and its members/officers — not by Kesher. Kesher does not inspect routes, vehicles, or riders, does not provide instruction or supervision, and has no ability to control road conditions, weather, traffic, or the conduct of other riders.
Your participation in any ride or Club activity is entirely voluntary and at your own risk. Use of the Service to view, RSVP to, or coordinate a ride does not create any duty on Kesher's part to ensure your safety. Separately from these Terms, your Club may require you to sign a Club-specific activity waiver and release of liability before participating in rides or events; that document, not these Terms, governs the assumption of risk for the physical activity itself.
5. Club Revenue Features
Today, the Service provides record-keeping tools for dues, merchandise, and event fees — tracking who owes what and who has paid, so a Club can see its finances in one place. Kesher does not process payments, hold funds, or facilitate any transfer of money at this time; payment is arranged directly between members and their Club through whatever means the Club normally uses, and officers record that payment in the Service.
Kesher may in the future offer optional payment processing as an added capability, through a third-party payment processor. If and when that capability is offered, Kesher will act solely as a facilitator/record-keeper and conduit to that processor — Kesher will not hold Club funds as its own, will not be a party to any sale or transaction between a Club and its members or guests, and will not be responsible for the quality, delivery, or fulfillment of merchandise or events a Club offers. These Terms and the Privacy Policy will be updated before that capability becomes available. Disputes about dues, merchandise, or event charges are between you and your Club.
6. Accounts and Club Data
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- Club officers may access and manage roster, dues, and event data for their Club as part of the Service's administrative functions.
- A Club's data (roster, event history, dues records, announcements, photos) belongs to that Club. If a Club stops using the Service, its officers may request an export of that Club's data.
- Kesher may suspend an account that it believes is being used fraudulently, abusively, or in violation of these Terms.
7. Acceptable Use
You agree not to: use the Service for any unlawful purpose; harass, threaten, or abuse other members; impersonate another person; upload content that infringes another's rights or that is obscene, hateful, or discriminatory; attempt to access another Club's data without authorization; or interfere with or attempt to disrupt the Service's operation.
Prohibited organizations. The Service is intended solely for lawful riding clubs and their members. You may not use the Service, and Kesher will not knowingly permit use of the Service, by any Club, group, or individual that: operates as, is affiliated with, or exists to further the activities of a criminal enterprise, gang, or organization engaged in illegal activity; uses the Service to plan, coordinate, or facilitate any unlawful act; or misrepresents the nature, purpose, or affiliations of a Club during onboarding or at any time thereafter. Kesher may request information reasonably necessary to verify a Club's legitimacy as part of screening and vetting under Section 1, and reserves the right to deny, suspend, or terminate access to any Club or individual it reasonably believes falls within this restriction, with or without notice.
8. Content You Submit
You retain ownership of photos, posts, and other content you submit to the Service ("User Content"). By submitting User Content, you grant Kesher and your Club a non-exclusive, royalty-free license to display, reproduce, and distribute that content within the Service for the purpose of operating the Club's feed, roster, and related features. You are solely responsible for User Content you submit and confirm you have the right to share it.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. KESHER DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT INFORMATION DISPLAYED IN THE SERVICE (INCLUDING RIDE TIMES, ROUTES, OR MEETING LOCATIONS) IS ACCURATE OR CURRENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KESHER LABS, LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR ANY RIDE, EVENT, OR CLUB ACTIVITY COORDINATED THROUGH IT — INCLUDING PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE — EVEN IF KESHER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, EXCEPT TO THE EXTENT SUCH DAMAGES RESULT FROM KESHER'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT. KESHER'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID KESHER IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.
11. Indemnification
You agree to indemnify, defend, and hold harmless Kesher Labs, LLC and its members, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) any ride, event, or in-person Club activity, regardless of whether it was coordinated through the Service; or (d) your violation of any law or the rights of a third party.
12. Termination
You may stop using the Service and request account deletion at any time. We may suspend or terminate your access, with or without notice, if we believe you have violated these Terms or if we discontinue the Service. Upon termination, Club officers may export their Club's data as described in Section 6.
13. Changes to the Service and These Terms
We may modify the Service or these Terms at any time. If we make material changes, we will provide notice (such as an in-app notification or email to Club officers) before the changes take effect. Continued use after changes take effect constitutes acceptance.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service shall be resolved in the state or federal courts located in Palm Beach County, Florida, and you consent to personal jurisdiction there.
15. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kesher regarding the Service. Kesher's failure to enforce any right or provision is not a waiver of that right.
